This UK Tax Strategy applies to PsychSense Ltd and its associated UK entities (collectively, "the UK Companies"). The UK Companies act primarily as holding entities that maintain the operational interest in PsychSense Ltd.
While not legally mandated to publish a formal tax strategy, PsychSense Ltd chooses to publish this document voluntarily. This reflects our commitment to corporate transparency, ethical governance, and responsible financial stewardship. This strategy is reviewed regularly by our leadership team and applies from the date of publication.

Tax Governance and Risk Management
Tax governance and risk management for the UK Companies is undertaken by our Board of Directors and senior financial leadership. The UK Companies’ activities and resulting tax liabilities are straightforward and monitored through monthly, quarterly, and annual reporting packages alongside formal corporate budget cycles.
Ultimate accountability for our UK tax strategy and compliance sits with the Board. Internal controls, including clear segregation of duties, are utilised to identify and mitigate key tax risks. Professional tax advice is always sought from reputable external advisors in relation to significant UK transactions, corporate restructurings, or material changes to the business. Day-to-day tax compliance is delivered by reputable outsourced service providers whose activities, computations, and outputs are strictly monitored and approved by our internal financial management team.

PsychSense strives for full compliance with all UK statutory tax laws and filing deadlines. We maintain a very low tax risk tolerance and proactively seek to resolve or avoid areas of uncertainty in our tax affairs. We believe this risk-averse approach safeguards our clinical mission and aligns with the long-term interests of our stakeholders, patients, and the wider community.
Approach to Tax Planning
Our presence in the UK is a vital part of our global growth strategy, and our UK Tax Strategy is one of cooperative compliance. In line with our core ethical values, we do not enter contrived or artificial tax avoidance arrangements, nor do we seek to apply tax law in a manner contrary to the clear intention of the UK Parliament. Inter-company transactions between global affiliates are conducted strictly on an arm’s-length basis in line with Organisation for Economic Co-operation and Development (OECD) transfer pricing guidelines, and all relevant cross-border reporting requirements are stringently adhered to.
Approach to Dealing with HMRC
The relationship between the UK Companies and HM Revenue & Customs (HMRC) has to date been focused on the timely submission of tax registrations, returns, and the accurate settlement of all associated tax liabilities.
PsychSense is committed to maintaining an open, transparent, and collaborative relationship with HMRC. We aim to act with integrity, ensuring professional and constructive engagement. Should any tax uncertainties or disputes arise, we intend to work proactively with HMRC to achieve real-time, professional resolution.

This UK Tax Strategy statement has been reviewed and formally approved by the Directors of the UK Companies. It will be reviewed and updated annually.
